By using the PROBO, UAB ("Good Apps by Custolytica", "Apps by Custolytica", "Custolytica", "we", "us", "our") Applications, you are agreeing to be bound by the following terms and conditions ("Terms"). These Terms of Service govern your access to and use of our applications (collectively, the "Services"). Please read these Terms carefully. By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy (if applicable). If you do not agree, please refrain from using our Services.

1. Acceptance of Terms

By using our Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, including any additional guidelines or policies referenced herein. If you do not agree with these Terms, do not use our Services.

Subject to your compliance with these Terms, PROBO, UAB grants you a limited, non-exclusive, non-transferable, and revocable license to use the Services solely for managing and optimizing your Shopify store.

4. Account Registration and Security

If you register for an account to access our Services, you agree to:

• Provide accurate, complete, and updated information.
• Maintain the confidentiality of your account credentials.
• Notify us immediately if you suspect any unauthorized access or use of your account.

5. Payment, Billing, and Refunds

• Fees: Certain features of the Services may require payment. By opting for these features, you agree to pay all applicable fees.
• Billing: Fees will be charged to the payment method provided via your Shopify account.
• Refunds: All fees are non-refundable unless otherwise specified in a separate refund policy or as required by applicable law.

6. Prohibited Conduct

You agree that you will not:

• Reverse engineer, decompile, or otherwise attempt to derive the source code of any part of the Services.
• Use the Services in any manner that could damage, disable, or impair the operation of our systems or interfere with another party’s use.
• Engage in any activity that is unlawful or in violation of these Terms.
• Use automated scripts or other methods to monitor, copy, or extract data from the Services without our express written consent.

7. Intellectual Property

All content, trademarks, service marks, logos, and other intellectual property on or associated with the Services are owned by or licensed to PROBO, UAB. No rights are granted to you other than as expressly provided in these Terms. You agree not to reproduce, duplicate, copy, sell, or exploit any portion of the Services without our prior written consent.

Our Services may contain links to third-party websites, tools, or services that are not owned or controlled by PROBO, UAB. PROBO, UAB reserves the right to modify, suspend, or discontinue, temporarily or permanently, the Services (or any portion thereof) at any time without notice. We may also update these Terms periodically. The updated Terms will be posted on our website or within the app and will become effective as of the new Effective Date. Your continued use of the Services after any changes signifies your acceptance of the revised Terms.

10. Termination

We may terminate or suspend your access to the Services immediately, without prior notice, for any reason, including if you breach any provision of these Terms. Upon termination, all rights granted to you under these Terms will immediately cease, and you must stop using the Services.

11. Disclaimers

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. PROBO, UAB disclaims all warranties, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, nor do we guarantee the accuracy or reliability of any content obtained through the Services.

12. Limitation of Liability

To the fullest extent permitted by law, PROBO, UAB, its affiliates, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Services, even if we have been advised of the possibility of such damages. In no event will our total liability exceed the amount you have paid (if any) for accessing the Services.

13. Indemnification

You agree to indemnify, defend, and hold harmless PROBO, UAB, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising from:

• Your use of the Services;
• Your violation of these Terms;
• Your infringement of any third party’s rights.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of Lithuania, without regard to its conflict of law provisions. Any disputes arising under these Terms will be resolved exclusively in the courts of Lithuania. By using our Services, you consent to the jurisdiction and venue of these courts.

15. Miscellaneous

• Entire Agreement: These Terms, together with any policies referenced herein, constitute the entire agreement between you and PROBO, UAB regarding your use of the Services and supersede all prior agreements.
• Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
• Waiver: The failure of PROBO, UAB to enforce any right or provision of these Terms will not constitute a waiver of such right or provision unless acknowledged in writing.
